  1. impersonate VatShort, Vat Short LLC, or any employee, representative, partner, or affiliate;
  1. falsely state or imply that you are sponsored, approved, endorsed, authorized, or affiliated with VatShort;
  1. use our name, brand, or materials in a misleading, defamatory, harmful, or unlawful manner;
  1. remove or alter a copyright, trademark, attribution, or proprietary notice;
  1. use the Website to violate another person’s intellectual-property, privacy, publicity, contractual, or legal rights;
  1. misrepresent the source, ownership, or nature of Website content; or
  1. use the Website in violation of applicable export-control, sanctions, or trade-restriction laws.

We may restrict or block access to the Website when we reasonably believe that a person has violated these Terms, created a security risk, interfered with Website operation, or exposed Vat Short LLC or another person to potential liability.

7. Trademarks and Brand Use

“VatShort,” “Vat Short LLC,” and associated names, logos, designs, slogans, and source identifiers are trademarks, trade names, or brand assets owned by or licensed to Vat Short LLC.

You may not use our trademarks or brand assets without prior written authorization, including in:

  • company names;
  • product names;
  • service names;
  • domain names;
  • social-media account names;
  • advertising;
  • metatags;
  • search keywords;
  • promotional materials; or
  • applications and software.

You may not use our marks in a manner likely to create confusion regarding sponsorship, affiliation, approval, or endorsement.

All goodwill arising from authorized use of VatShort marks will benefit Vat Short LLC.

8. AI-Assisted Content and Business Description

VatShort develops and produces content using artificial intelligence, digital production technologies, and human creative direction.

References on the Website to “AI-powered,” “AI-generated,” “AI-assisted,” or similar terms describe aspects of our production processes.

Such descriptions do not necessarily mean that:

  • every element of every work is generated entirely by artificial intelligence;
  • no human creative contribution is involved;
  • a particular AI model or provider is used;
  • every output is unique or error-free; or
  • the same production method applies to every project.

Website descriptions of our production capabilities, services, business plans, or content categories are provided for general informational purposes.

They do not constitute a binding promise, warranty, offer, production commitment, licensing commitment, or guarantee of future availability.

9. Content Distributed Through Third-Party Platforms

VatShort content may separately be published, licensed, distributed, or made available through independently operated third-party platforms.

The Website does not currently link to, embed, or technically integrate with those platforms.

Your use of a third-party platform is governed by the terms and policies of the applicable platform.

Vat Short LLC does not control and is not responsible for a third party’s:

  • technical systems;
  • security;
  • content moderation;
  • privacy practices;
  • advertising practices;
  • account decisions; or
  • other independent operations.

The publication or distribution of VatShort content on a third-party platform does not make that platform part of this Website.

10. No User Accounts, Payments, or User Content

The Website does not currently provide user accounts, payments, subscriptions, purchases, public comments, user uploads, or user-generated-content features.

Accordingly, these Terms do not grant you any right to:

  • create an account;
  • upload content;
  • publish comments;
  • purchase content;
  • access paid services;
  • download entertainment content; or
  • obtain streaming access.

If such features are introduced in the future, additional or revised terms may apply.

11. Communications

The Website may display our company email address.

If you choose to contact us by email, you are responsible for the accuracy and legality of the information you submit.

  • deceptive or fraudulent information;
  • information that infringes another person’s rights;

A binding business relationship exists only when the relevant parties enter into a separate written agreement signed by authorized representatives.

Vat Short LLC does not request unsolicited scripts, story concepts, creative proposals, character designs, production materials, or other creative submissions through the Website.

Please do not send confidential or proprietary creative materials unless we have expressly requested them or a written agreement is in place.

Vat Short LLC may already be developing or considering ideas, themes, formats, characters, technologies, or business opportunities similar to materials submitted by others.

To the extent permitted by law, general similarities do not create an obligation, ownership interest, confidentiality duty, or right to compensation.

Vat Short LLC respects intellectual-property rights.

WE DO NOT WARRANT THAT:

  1. WEBSITE CONTENT WILL ALWAYS BE ACCURATE, COMPLETE, OR CURRENT;

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VAT SHORT LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

THIS INCLUDES LOSS OF:

  • PROFITS;
  • REVENUE;
  • BUSINESS OPPORTUNITIES;
  • GOODWILL;
  • DATA;
  • USE; OR
  • OTHER INTANGIBLE LOSSES

ARISING OUT OF OR RELATING TO:

  • THE WEBSITE;
  • THESE TERMS;
  • WEBSITE CONTENT;
  • RELIANCE ON WEBSITE INFORMATION;
  • TECHNICAL FAILURES;
  • SECURITY INCIDENTS;
  • THIRD-PARTY INFRASTRUCTURE; OR
  • COMMUNICATIONS SENT TO VAT SHORT LLC.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAT SHORT LLC’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED FIFTY U.S. DOLLARS (US$50).

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

19. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Vat Short LLC and its members, managers, officers, employees, contractors, representatives, affiliates, licensors, and service providers from claims, damages, liabilities, losses, judgments, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. your misuse of the Website;
  1. your violation of these Terms;
  1. your violation of applicable law;
  1. information or material you submit; or
  1. your infringement or violation of another person’s rights.

Vat Short LLC may assume control of the defense and settlement of a matter subject to indemnification.

You agree to reasonably cooperate with that defense.

20. International Access

The Website may be accessible from countries outside the United States.

Vat Short LLC does not represent that the Website or its content is appropriate, lawful, available, or compliant in every jurisdiction.

You are responsible for complying with laws applicable to your location and use of the Website.

You may not access or use the Website in violation of applicable sanctions, export-control laws, or trade restrictions.

21. Governing Law

These Terms and any dispute arising out of or relating to the Website or these Terms will be governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles.

Mandatory rights that cannot legally be waived under applicable law remain unaffected.

22. Informal Dispute Resolution

Before initiating formal legal proceedings, the party raising a dispute must send written notice describing:

  • the nature of the dispute;
  • the relevant facts;
  • the requested resolution; and
  • appropriate contact information.

The parties will attempt in good faith to resolve the dispute informally for at least thirty days after receipt of the notice.

This requirement does not prevent either party from seeking urgent injunctive or equitable relief when reasonably necessary to protect intellectual property, security, confidential information, or prevent immediate harm.

23. Jurisdiction and Venue

If a dispute is not resolved through the informal process, and unless applicable law requires otherwise, the dispute will be brought in an appropriate state or federal court having jurisdiction in the State of Wyoming.

You and Vat Short LLC consent to the personal jurisdiction of such courts.

These Terms do not currently require mandatory arbitration and do not include a class-action waiver or jury-trial waiver.

24. Changes to These Terms

We may update these Terms to reflect changes in:

  • the Website;
  • our business;
  • applicable law;
  • security practices;
  • company operations;
  • service providers; or
  • internal policies.

The updated Terms will be posted on the Website with a revised “Last Updated” date.

Your continued use of the Website after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

If you do not agree to updated Terms, you must stop using the Website.

25. Termination or Restriction of Access

The remaining provisions will continue in full force and effect.

A failure or delay in enforcing a provision of these Terms does not waive the right to enforce that provision or another provision later.

A waiver is effective only if made in writing by an authorized representative of Vat Short LLC.

28. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Vat Short LLC may assign or transfer these Terms in connection with a merger, acquisition, financing, restructuring, reorganization, asset sale, or transfer of its business.

29. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Vat Short LLC concerning your use of the Website.

A separate written agreement signed by authorized representatives will control over these Terms with respect to the specific subject matter covered by that agreement.
